Please take a moment to read the criteria set out below (Trade Buyer Criteria) to understand whether you will constitute a Trade Buyer in terms of our sales process and therefore qualify for discounted pricing on our Products. Also included below are the terms and conditions (together with the Trade Buyer Criteria being the Trade Buyer T&Cs) applicable to Trade Buyers who purchase any Peel’s products online at www.peels.co.za (the website). By visiting and using the website, you acknowledge that you have read and understood the Trade Buyer T&Cs and agree to be bound by them.
TRADE BUYER CRITERIA
In order to constitute a Trade Buyer for the purposes of purchasing our Products (as define din paragraph 3) on the basis of discounted pricing you are required to purchase Products:
valued at R8 500 or more per order; and
for purposes of resale to retailers, end-users or for use in store (and not for personal consumption).
Peel’s reserves its right to assess each applicant to ensure that the relevant applicant satisfies the Trade Buyer Criteria set out in paragraph 1.1. Peel’s is entitled in its sole discretion to refuse to grant an applicant Trade Buyer status or revoke such status at any time if such applicant does not satisfy the Trade Buyer Criteria set out in paragraph 1.1 or for any other reason whatsoever.
It is recorded that as a Trade Buyer, you are expected to place orders with Peel’s regularly (at least once a month) and to purchase a variety of Products.
WHAT DOES IT MEAN TO BE A TRADE BUYER?
If you satisfy the Trade Buyer Criteria in paragraph 1.1 (as determined by us from time to time), you will have access to discounted pricing depending on the category of Trade Buyer which you constitute being either a wholesaler or distributor (in each case as determined by us from time to time).
Peel’s reserves its right to change the prices applicable to you from time to time on providing 10 business days’ notice via email to the email address provided to us as part of the onboarding process (or such updated email notified by you to us from time to time in terms of paragraph 6.1.1 of these Trade Buyer T&Cs).
APPOINTMENT AS TRADE BUYER
Subject to the satisfaction of the Trade Buyer Criteria in paragraph 1.1, Peel’s hereby appoints you to sell various honey, honey-related products, confectionary products and Peel’s associated merchandise (together the Products) and you hereby accept the appointment on the terms and subject to the conditions contained in these Trade Buyer T&Cs.
ORDERS FOR PRODUCT AND DELIVERY
All online orders placed by you for Products (Orders) shall be executed by us subject to these Trade Buyer T&Cs and the relevant Products being available at the time.
Orders shall be final and binding on you and may not be amended or varied in any respect unless agreed otherwise by us.
The Products will be made available to you, suitably packaged at the relevant point of delivery at which point the risk in respect of the Products shall transfer to the Trade Buyer. Unless agreed otherwise by Peel’s, the point of delivery will be at the Peel’s factory (located at Unit 23, Hilton Business Park, 6A Quarry Street, Hilton, 3245). Notwithstanding the aforesaid, Peel’s may agree to pay for the cost of transport subject to a minimum monthly and/or annual Order value.
Unless you have applied for an Account with Peel’s (see link here) which application has been accepted by Peel’s, payment for each Order is due on checkout.
TRADE BUYER’S OBLIGATIONS
The Trade Buyer will:
promptly (and in any event within five business days) notify Peel’s of any change of the details provided during this onboarding process, including any change of address; and
advise Peel’s of any complaints received from customers of the Trade Buyer (Customers) by facilitating interaction between Peel’s and the Customers and ensuring that such complaints are resolved.
The Trade Buyer will not:
commit any act or omission which may bring Peel’s and/or the brand or goodwill associated with Peel’s into disrepute; and
give any warranty or make any representation in relation to Peel’s and the Products other than the warranties provided by Peel’s and will be bound by Peels’ returns policy as set out in the T&Cs (see link here).
TRADE BUYER WARRANTY AND INDEMNITY
The Trade Buyer hereby warrants that its asset value or annual turnover, at the date of completing the onboarding process, equals or exceeds the threshold value determined by the minister in terms of the Consumer Protection Act, 2008.
The Trade Buyer hereby indemnifies Peel’s in respect of any and all losses, liabilities, costs, expenses, damages and claims, and all related costs and expenses (including without limitation, legal fees, costs of investigation and interest) which Peel’s pays, suffers, incurs or is liable for as a result of any breach of the Trade Buyer T&Cs.
You undertake that during the operation of, and after the termination of Trade Buyer status for whatever reason, you will keep confidential any information which Peel’s communicates to you and which is stated to be or by its nature is intended to be confidential, including details of Peels’ pricing and Customers.
GOVERNING LAW AND DISPUTES
These Trade Buyer T&Cs are governed by, and all disputes shall be resolved in accordance with the laws of South Africa.
The parties irrevocably submit and agree to submit to the non-exclusive jurisdiction of the High Court of South Africa, Gauteng Local Division, Johannesburg in respect of any disputes arising in relation to these Trade Buyer T&Cs.
UPDATING OF THESE TRADE BUYER T&CS
We may periodically update or change these Trade Buyer T&Cs without notice. You should check them from time to time as your continued use of the website to place Orders will mean you accept any updated or revised Trade Buyer T&Cs.
These Trade Buyer T&Cs (together with the T&Cs (see link here to the extent applicable) are the entire agreement between us and you with regard to the use of the content and the website.
Any term that is invalid, illegal, or cannot be enforced must be regarded as deleted. The remaining terms continue as intended.
